General sales and delivery conditions
1. Validity

These sales conditions apply to any sale of goods from Dark Matter Norway AS and unless other conditions have been agreed in writing. When ordering, the buyer is deemed to have accepted the terms of sale. A valid agreement does not exist until Dark Matter Norway AS has confirmed the order.

2.
Technical information
Technical information given in brochures and other advertising material only serves as a guide and must not be taken as final and binding. If corresponding information is included in the order confirmation or other contractual document, they are considered to be binding. Stated technical data must always be understood with the tolerances that are customary in the industry.

3. Prices
All prices are stated, freely delivered Dark Matter Norway AS's warehouse. Dark Matter Norway AS can change prices due to changes in supplier price, customs duties, taxes and exchange rates, this also applies to offers that have been made. We reserve the right to make errors in prices and specifications.

4. Environmental fee

Environmental fees are calculated according to current rates. Should this change up to the delivery date, the price will be adjusted with the difference in the fee.

5. Terms of payment

If the buyer uses a credit or debit card for payment, the seller can reserve the purchase price on the card when ordering. The card is charged on the same day the item is sent.

The purchase price is due for payment according to the invoice. The invoice will be sent by mail, for those who are approved for credit, Cash payment applies to all others.

6. Delivery conditions
Company customers: The goods are delivered free of charge to Dark Matter Norway AS's warehouse unless otherwise agreed in writing. The risk passes to the buyer upon delivery. The stated delivery time is indicative. In the event of a significant change in the time of delivery, Dark Matter Norway AS must notify the buyer. If the goods are to be sent, the buyer must specify exactly where the goods are to be delivered. Delivery is deemed to have taken place when the goods are handed over to the carrier or the post office.

Private customers:
Delivery has taken place when the buyer, or his representative, has taken over the thing.

If no delivery time is stated in the order solution, the seller must deliver the goods to the buyer without undue delay and no later than 30 days after the order from the customer. The goods must be delivered to the buyer unless otherwise separately agreed between the parties.

7. Sales pledge
Dark Matter Norway AS has a lien on the delivered goods until the purchase price with any interest and costs has been paid. Until this has happened, the buyer does not have the right to pledge, sell or otherwise transfer the goods from the specified goods address without Dark Matter Norway AS's written consent. The buyer otherwise undertakes to treat goods subject to a sales pledge with due care and to keep them insured in the event of loss or damage.

8. Warranty
Dark Matter Norway AS guarantees the product against manufacturing defects in accordance with the manufacturer's warranty regulations. Otherwise, section

9. Complaints and defects
The buyer is obliged to inspect the goods on receipt. Obvious defects must be reported within 8 days of receipt. Defects that can only be discovered after installation and test driving must be reported as soon as they are discovered. The right to make the defect valid regardless of whether the buyer has not complained about the defect within 1 year after delivery. In the event of defects that can be traced back to Dark Matter Norway AS and which existed at the time of delivery, Dark Matter Norway AS will, at its own discretion and at its own expense, rectify the defect, make a redelivery or give a discount. In addition to this, the buyer cannot enforce default powers.

10. Return and right of withdrawal
Return of purchased goods can only take place with Dark Matter Norway AS's consent and takes place at the buyer's expense and risk. The item is returned in its original packaging. Missing packaging or incomplete goods are debited separately. All goods are given a return number which can be obtained by contacting Dark Matter Norway AS.
Right of withdrawal and/or return of smittevern's products cannot be used if the seal has been broken.

Unless the agreement is exempt from the right of cancellation, the buyer can cancel the purchase of the goods in accordance with the Right of Cancellation Act.

The buyer must notify the seller of using the right of withdrawal within 14 days of the deadline starting to run. The deadline includes all calendar days. If the deadline ends on a Saturday, holiday or bank holiday, the deadline is extended to the nearest working day.

The withdrawal period is deemed to have been met if notification is sent before the end of the period. The buyer has the burden of proof that the right of withdrawal has been exercised, and the notification should therefore be made in writing (right of withdrawal form, e-mail or letter).

The cancellation period starts to run:

  • When purchasing individual items, the cancellation period will run from the day after the item(s) have been received.
  • If a subscription is sold, or the agreement involves regular delivery of identical goods, the deadline runs from the day after the first shipment is received.
  • If the purchase consists of several deliveries, the cancellation period will run from the day after the last delivery has been received.

The withdrawal period is extended to 12 months after the end of the original period if the seller does not inform the seller before the conclusion of the agreement that there is a right of withdrawal and a standardized withdrawal form. The same applies in the event of a lack of information on terms, deadlines and procedures for exercising the right of withdrawal. If the trader makes sure to provide the information during these 12 months, the cancellation period still expires 14 days after the day the buyer received the information.

When using the right of withdrawal, the goods must be returned to the seller without undue delay and no later than 14 days from the notification of the use of the right of withdrawal being given. The buyer covers the direct costs of returning the item, unless otherwise agreed or the seller has failed to state that the buyer must cover the return costs. The seller cannot set a fee for the buyer's use of the right of withdrawal.

The buyer can try or test the goods in a proper way to determine the nature, properties and function of the goods, without the right of withdrawal being lost. If the examination or testing of the goods goes beyond what is reasonable and necessary, the buyer may be held liable for any reduced value of the goods. Infection control products, the seal of the product must be intact for the right of withdrawal to apply.

The seller is obliged to repay the purchase price to the buyer without undue delay, and no later than 14 days from the seller receiving notification of the buyer's decision to exercise the right of withdrawal. The seller has the right to withhold payment until he has received the goods from the buyer, or until the buyer has provided documentation that the goods have been sent back.

11. Liability for compensation

Any liability for damages for Dark Matter Norway AS shall in any case be limited to only directly documented losses resulting from negligence on the part of Dark Matter Norway AS. Liability for compensation does not include consequential losses or indirect losses, such as loss of production or turnover, loss of profit from resale or any other form of consequential loss. In any case, liability is limited upwards to the value of the delivered goods.

12. Assignment
Rights and obligations under this agreement cannot be transferred to a third party without the other party's written consent.

13. Order item/Procurement item/anti-infection

Ordered goods/purchased goods cannot be returned and are considered binding at the time of order. The same conditions apply to specially configured hardware.

14. Additions or changes to the agreement
Additions to or changes to this agreement must be made in writing.

15. Disputes

Disputes under this agreement shall, as far as possible, be resolved by negotiation. If such negotiations do not lead to progress, each of the parties may request that the matter be settled with final effect in accordance with Norwegian law by Norwegian courts. Oslo City Council is adopted as the venue.
